PowerFeed Terms of Service
These Terms govern your use of PowerFeed, including supplier product feed workflows, source configuration, mappings, transformations, guardrails, runs, logs, optional Managed SFTP Space, and related support services.

PowerFeed is provided for Shopify merchants, agencies, and business users, not for personal or consumer use.

PowerFeed is a Shopify app operated by Berridge Strategy Group Limited, a New Zealand company. In these Terms, “PowerFeed”, “we”, “us”, and “our” refer to Berridge Strategy Group Limited operating the PowerFeed product.
By installing, accessing, or using PowerFeed, you agree to these Terms. If you do not agree to these Terms, you must not install, access, or use PowerFeed.
1. Who may use PowerFeed
PowerFeed is provided for business use by Shopify merchants, agencies, operators, and authorised business users.
PowerFeed is not intended for personal, household, or consumer use. You must only use PowerFeed if you are acting for a business or organisation and have authority to accept these Terms.
If you use PowerFeed on behalf of a Shopify store, client, agency, or other organisation, you confirm that you are authorised to do so and that the organisation agrees to be bound by these Terms.
2. What PowerFeed does
PowerFeed helps Shopify merchants import, manage, configure, and automate supplier product data and related catalogue workflows.
PowerFeed may include functionality for:
- Connecting to supplier files, feeds, FTP/SFTP locations, or other data sources.
- Configuring sources and source behaviour.
- Mapping supplier fields to Shopify product, variant, inventory, image, metafield, and related fields.
- Applying transformations and rules to source data.
- Setting guardrails and source contract behaviour.
- Running manual or scheduled catalogue updates.
- Creating run history, logs, warnings, and error records.
- Providing optional Managed SFTP Space.
- Providing support and operational assistance.
PowerFeed may change, add, remove, improve, or discontinue features over time.
3. Shopify and third-party platforms
PowerFeed depends on Shopify and may also depend on suppliers, distributors, hosting providers, email providers, data providers, file transfer services, and other third-party systems.
We are not responsible for Shopify outages, Shopify API limits, supplier outages, supplier file changes, credential failures, third-party system behaviour, or any delay, failure, corruption, limitation, or loss caused by systems outside our control.
You are responsible for complying with Shopify’s terms, Shopify’s policies, supplier agreements, data provider terms, and any other third-party obligations that apply to your use of PowerFeed.
4. Merchant responsibility for supplier data and Shopify outcomes
You are responsible for reviewing supplier data, source configuration, mappings, transformations, guardrails, run settings, and Shopify catalogue changes.
PowerFeed is not responsible for pricing errors, stock errors, overselling, underselling, incorrect product data, incorrect supplier data, incorrect catalogue changes, failed updates, delayed updates, missed updates, duplicate products, missing products, incorrect product status, incorrect inventory, incorrect images, incorrect tags, incorrect metafields, or any other catalogue outcome.
This applies whether the issue results from merchant configuration, supplier data, third-party systems, Shopify behaviour, app failures, processing delays, bugs, outages, integrations, credentials, scheduled runs, or any other cause, to the maximum extent permitted by law.
You remain responsible for deciding whether PowerFeed is suitable for your business, testing your configuration, reviewing the results of runs, and checking your Shopify store after updates are applied.
5. Source configuration, mappings, transformations, and guardrails
PowerFeed gives merchants tools to configure how supplier data is interpreted and applied to Shopify. These tools can reduce risk, but they do not remove the need for merchant review and control.
You are responsible for setting up and maintaining all source configuration, mappings, transformation rules, source contracts, filters, schedules, guardrails, field behaviours, and run settings.
You are also responsible for checking that your configuration produces the expected Shopify outcomes before relying on it for business-critical catalogue updates.
6. Supplier credentials and source access
You are responsible for obtaining, maintaining, and lawfully using all supplier URLs, FTP details, SFTP details, API credentials, authentication keys, files, permissions, and access rights used with PowerFeed.
You must ensure that supplier credentials and source access remain valid, accurate, secure, and authorised.
We are not responsible for failed runs, missed updates, data errors, incomplete imports, or catalogue outcomes caused by invalid credentials, changed supplier files, changed source formats, unavailable files, revoked access, expired credentials, supplier-side restrictions, or supplier system issues.
7. Scheduled runs and best-efforts processing
Scheduled runs are provided on a best-efforts basis. They may be queued, delayed, skipped, interrupted, retried, paused, throttled, or fail.
Scheduled run timing is not guaranteed. Processing may be affected by platform load, queueing, Shopify API limits, supplier system availability, file size, malformed data, credentials, hosting infrastructure, bugs, maintenance, outages, or other operational factors.
You are responsible for monitoring run history, logs, Shopify catalogue outcomes, stock levels, pricing, and any business process that depends on scheduled updates.
8. Plan limits, fair use, and service protection
PowerFeed plans may include limits such as variant limits, source limits, active source limits, run frequency limits, scheduled run limits, storage limits, support limits, Managed SFTP Space limits, or other usage restrictions.
We may enforce plan limits, require you to upgrade, prevent new runs, pause runs, throttle usage, restrict access, or suspend features if your use exceeds plan limits, creates operational risk, affects platform stability, or appears unreasonable, harmful, unlawful, or abusive.
We may apply fair-use controls to protect PowerFeed, other merchants, infrastructure, support capacity, and service reliability.
9. Managed SFTP Space
Managed SFTP Space is an optional add-on that provides secure hosted file space for supplier file uploads and related import or export workflows.
Managed SFTP Space is limited to 5GB unless we agree otherwise in writing. It is provided as file transfer and operational file storage space only. It is not intended to be a backup service, archive service, disaster recovery service, permanent storage system, or general-purpose file hosting service.
You are responsible for any files uploaded by you, your suppliers, your staff, your contractors, your agents, or anyone using access credentials associated with your store or account.
You must not upload unlawful, malicious, harmful, infringing, excessive, unrelated, or unauthorised files. We may delete files, restrict access, suspend Managed SFTP Space, or take other action where required for security, fair use, platform stability, operational reasons, or legal compliance.
10. Support
PowerFeed support is provided on a best-efforts basis unless a specific plan or written agreement states otherwise.
Support may vary by plan, priority level, operational complexity, availability, and the nature of the issue.
To provide support, authorised PowerFeed personnel may access account information, source configuration, mappings, logs, run records, supplier connection information, and related operational data where reasonably needed for troubleshooting, support, security, service operation, or administration.
We may ask you for additional information, screenshots, files, access details, or examples needed to investigate a support request.
11. Billing, plan changes, and refunds
PowerFeed billing is handled through Shopify app billing unless we agree another billing arrangement in writing.
Subscription approval, charges, upgrades, downgrades, cancellation, and billing management are subject to Shopify’s billing processes.
You are responsible for selecting the plan that matches your source count, variant count, run frequency, support needs, and operational requirements.
Fees are non-refundable except where required by law or where we choose, at our discretion, to provide a refund or credit.
12. Cancellation and uninstalling PowerFeed
You may cancel or uninstall PowerFeed through Shopify’s app management and billing processes.
Uninstalling PowerFeed stops future access to the app and stops future billing according to Shopify’s app billing process, but it does not automatically reverse catalogue changes already made in Shopify.
You are responsible for reviewing, correcting, reversing, or maintaining any Shopify catalogue data after uninstalling PowerFeed.
After uninstall, we may retain certain account, billing, run, log, configuration, support, security, and operational records for a reasonable period for audit, support, legal, security, compliance, backup, and legitimate business purposes, as described in our Privacy Policy.
13. Acceptable use
You must not use PowerFeed to:
- Break the law or violate any regulation, Shopify requirement, supplier agreement, or third-party right.
- Upload malicious files, malware, viruses, harmful code, or unlawful material.
- Access, process, upload, or use data that you do not have the right to use.
- Interfere with, disrupt, overload, reverse engineer, scrape, probe, or misuse PowerFeed or its infrastructure.
- Attempt to bypass usage limits, billing, access controls, security controls, or technical restrictions.
- Use PowerFeed in a way that could damage Shopify stores, suppliers, merchants, shoppers, PowerFeed, or third parties.
- Misrepresent your authority to act on behalf of a Shopify store, client, agency, supplier, or organisation.
We may suspend, restrict, or terminate access if we reasonably believe your use breaches these Terms, creates risk, or may cause harm to PowerFeed, Shopify, suppliers, merchants, shoppers, or third parties.
14. Intellectual property
PowerFeed, including its software, interface, workflows, designs, documentation, branding, copy, code, systems, and related materials, is owned by Berridge Strategy Group Limited or its licensors.
You are granted a limited, revocable, non-exclusive, non-transferable right to use PowerFeed for your authorised business purposes, subject to these Terms and your selected plan.
You retain ownership of your merchant data and supplier data, subject to the rights we need to provide PowerFeed, operate the service, provide support, maintain security, comply with legal obligations, and improve the app.
15. Privacy and data
Our handling of personal information and merchant data is described in our Privacy Policy.
By using PowerFeed, you agree that we may collect, process, store, access, use, and retain data as described in these Terms and our Privacy Policy.
You are responsible for ensuring that you have the rights, permissions, notices, and consents required to provide supplier data, merchant data, customer data, order data, or other information to PowerFeed.
16. Disclaimers
PowerFeed is provided on an “as is” and “as available” basis to the maximum extent permitted by law.
We do not guarantee that PowerFeed will be uninterrupted, error-free, delay-free, secure, compatible with all supplier files, compatible with all Shopify configurations, or suitable for every merchant workflow.
We do not guarantee that supplier data will be accurate, complete, current, valid, available, or correctly formatted. We do not guarantee that Shopify catalogue updates will produce any particular business result.
You are responsible for maintaining appropriate checks, backups, review processes, business controls, and manual fallback processes for your Shopify catalogue and business operations.
17. Limitation of liability
To the maximum extent permitted by law, PowerFeed and Berridge Strategy Group Limited are not liable for any indirect, consequential, special, incidental, punitive, exemplary, or business loss, including loss of profit, revenue, sales, opportunity, goodwill, data, inventory accuracy, business interruption, or expected savings.
To the maximum extent permitted by law, we are not liable for pricing errors, stock errors, overselling, underselling, failed updates, delayed updates, missed updates, incorrect supplier data, incorrect Shopify catalogue data, incorrect product status, incorrect inventory, or any resulting business loss, whether caused by merchant configuration, supplier data, third-party systems, Shopify behaviour, app failures, bugs, outages, processing delays, integrations, scheduled runs, or any other cause.
To the maximum extent permitted by law, our total aggregate liability for all claims relating to PowerFeed is limited to the fees you paid for PowerFeed in the three months immediately before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability where it would be unlawful to do so.
18. Indemnity
You agree to indemnify and hold harmless PowerFeed, Berridge Strategy Group Limited, and our directors, officers, employees, contractors, suppliers, and service providers from claims, losses, costs, expenses, damages, and liabilities arising from:
- Your use of PowerFeed.
- Your source data, supplier data, files, credentials, or configuration.
- Your Shopify catalogue changes or business outcomes.
- Your breach of these Terms.
- Your breach of law, Shopify requirements, supplier terms, or third-party rights.
- Your use of PowerFeed on behalf of a client, store owner, agency, or organisation without proper authority.
19. Changes to PowerFeed or these Terms
We may update, change, suspend, discontinue, or replace any part of PowerFeed from time to time.
We may also update these Terms from time to time. If we make material changes, we may notify merchants through the app, by email, through Shopify, or by another appropriate method.
Continued use of PowerFeed after updated Terms become effective means you accept the updated Terms.
20. Governing law
These Terms are governed by New Zealand law.
You and we submit to the non-exclusive jurisdiction of the courts of New Zealand for disputes relating to these Terms or PowerFeed.
